These Terms of Service (the “Terms”) govern your access to and use of the websites, products, and services (together, the “Services”) provided by VITESTRA S.R.L. (“Vitestra”, “we”, “us”). By using the Services, placing an order, or entering into a statement of work with us, you agree to these Terms.
Vitestra is a studio that builds and operates AI and agentic products and provides related development and advisory services. Our company details are set out at the end of this document. Vitestra is the parent entity; individual products may be published under their own name and may have their own supplementary terms, which apply in addition to these Terms.
The Services include (a) products built and operated by Vitestra, each offered on the plans, features, and pricing described on that product’s page, and (b) client work - custom development, integration, and advisory engagements defined in a written statement of work or order (“SOW”). Where a product’s terms or an SOW conflict with these Terms, the product terms or SOW prevail for that engagement.
Fees are stated on the relevant product page or in the applicable SOW. Unless stated otherwise:
You are responsible for keeping your billing information accurate and for any charges incurred under your account.
Refunds and cancellation are governed by our Refund & Cancellation Policy, which forms part of these Terms.
You agree to use the Services lawfully, not to misuse or attempt to disrupt them, and to provide the access, information, and cooperation reasonably needed for us to deliver client work. You are responsible for the content and data you submit to the Services and for ensuring you have the rights to do so.
We retain all rights in our products, software, methods, and pre-existing materials. For client work, ownership of deliverables is defined in the applicable SOW; absent other terms, deliverables transfer to you upon full payment, while we retain ownership of our underlying tools and know-how.
Each party will protect the other’s non-public information disclosed in connection with the Services and use it only to perform under these Terms or an SOW.
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and we disclaim all other warranties to the fullest extent permitted by law. AI systems can produce inaccurate or unexpected outputs; you are responsible for reviewing outputs before relying on them.
To the maximum extent permitted by law, Vitestra is not liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total liability arising out of or relating to the Services will not exceed the amounts you paid to us for the relevant Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
These Terms apply while you use the Services. We may suspend or terminate access for material breach or unlawful use. You may stop using the Services and cancel as described in the Refund & Cancellation Policy. Provisions that by their nature should survive termination will do so.
These Terms are governed by the laws of Romania. The competent courts of Romania have jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above; continued use of the Services after changes take effect constitutes acceptance.
